Schneider Electric to Buy U.S. Software Firm PTC for $22.6 Billion in All-Cash Deal

CHICAGO, October 8, 2026 – French industrial company Schneider Electric has made a definitive and all-cash deal to purchase PTC Inc., a software firm in the United States, at a price of $205 per share.

The acquisition is valued at approximately $22.6 billion and represents Schneider’s largest-ever software acquisition.

The transaction delivers a significant 42.3 percent premium on the last closing price before the announcement, bringing the total enterprise value of the Boston-based company to $23.7 billion, after netting off the debt.

Why drop that kind of cash? Industrial automation is colliding headfirst with artificial intelligence. Modern factory floors aren’t just about heavy machinery anymore; they run on complex digital twins, life-cycle tracking, and predictive algorithms. 

“We gain substantial scale and resources to accelerate innovation, advance our Intelligent Product Lifecycle vision, and expand our business,” explained Neil Barua, chief executive officer of PTC. He quickly recognized the need for expansion of the software distribution on the global front of Schneider’s client base.

To foot the massive bill, Schneider plans to issue 5 to 6 billion euros ($5.5B to 6.6B) along with new borrowings of 16 to 17 billion euros (17.6B to $18.7B).

Market response to this information was not alike on either side of the Atlantic. PTC’s shares have soared on Wall Street by more than 30%, while Schneider’s stock has been under pressure right away in Paris due to concerns about equity dilution and increased leverage in exchange for future benefits.

Nevertheless, there are certain difficulties ahead. In addition to considerable debt and software integration, the deal involves gaining necessary regulatory approvals and PTC shareholder approval. If everything goes well, executives will be able to close this deal at the end of 2027.
